Peter Feinberg to Speak on Oppression of Minority Shareholders and Business Judgment Rule

Huge Fenton attorney Peter D. Feinberg will speak on a panel, “Oppression of Minority Shareholders Meets the Business Judgment Rule,” at the Santa Clara County Bar Association (SCCBA) on May 7, 2015. The presentation is being sponsored by the Business Law and Business Litigation section of the SCCBA, of which Peter is the Chair.

This MCLE program will examine the duties of corporate boards and majority shareholders and the rights of minority shareholders, primarily in California and Delaware, from a corporate and litigation perspective, in the frequently arising contexts of employment, dividends mergers, access to documents and dissolution among other areas. It will be valuable for transaction lawyers in giving them guidelines and helping them structure agreements to minimize the likelihood of disputes arising and litigators in helping them to resolve such disputes or prevail when they are litigated.
